Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and Ubisoftly ("we," "our," or "us"). By accessing our website at ubisoftly.com, submitting inquiries, or engaging our software product studio services, you agree to be bound by these Terms.

2. Services Offered

Ubisoftly is a software product studio specializing in digital product design, cross-platform mobile application development (Flutter/iOS/Android), web platform development (React/Next.js), AI feature integration & workflow automation, and custom business software engineering.

Specific deliverables, project timelines, milestones, payment schedules, and technical scopes will be defined in individual Master Services Agreements (MSA), Statements of Work (SOW), or project contracts executed between Ubisoftly and the Client.

3. Intellectual Property Rights

Client Ownership: Upon full and final payment of all agreed fees for a specific engagement, the Client shall own all rights, title, and intellectual property in the custom software deliverables, visual designs, and application code explicitly produced for the Client.

Pre-Existing Tools & Code: Ubisoftly retains ownership of pre-existing frameworks, proprietary code libraries, developer tools, and generic utilities created prior to or outside of the project scope. Ubisoftly grants the Client a non-exclusive, perpetual, royalty-free license to use such pre-existing components embedded in the final deliverables.

4. Client Responsibilities

To ensure successful project delivery, the Client agrees to:

  • Provide timely access to required business information, feedback, and approvals.
  • Ensure all materials, data, brand assets, and content provided to Ubisoftly do not violate third-party intellectual property rights.
  • Adhere to the payment schedules and milestone terms specified in project agreements.

5. Warranties & Limitation of Liability

We build software according to industry best practices and thorough testing standards. Unless explicitly stated in a SOW, software deliverables are provided "as is" after acceptance testing.

To the maximum extent permitted by applicable law, Ubisoftly shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, arising out of or related to the use or inability to use the software services.

6. Confidentiality

Both parties agree to treat all non-public business information, source code, project briefs, and technical specifications exchanged during the course of engagement as strictly confidential, protecting it with the same degree of care as their own proprietary information.

7. Changes & Contact Information

We reserve the right to update or modify these Terms at any time. Continued use of our website or services following any updates indicates acceptance of the revised Terms.
